• "Deliverables" refers to the outputs, files, code, designs, or documentation provided as part of the services

Services Overview

Blue Brain Technologies provides technology and digital services including but not limited to website development, mobile application development, custom software development, UI/UX design, digital marketing, branding, and IT consulting. The specific scope, timeline, and cost of services will be detailed in a separate proposal or agreement signed by both parties.

Eligibility

By using our website or engaging our services, you represent that you are at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or the entity you represent.

Project Engagement and Agreements

All projects are governed by a written proposal, quotation, or agreement outlining the scope of work, deliverables, timelines, and payment terms. In the event of any conflict between these Terms and a specific signed agreement, the terms of the signed agreement shall prevail for that engagement.

Client Responsibilities

The client agrees to:

• Provide accurate, complete, and timely information, content, and materials required for the project
• Review and approve deliverables within the timeframes communicated by our team
• Make payments as per the agreed schedule and terms
• Ensure they have the necessary rights and licenses for any content, images, or materials provided to us for use in the project
• Designate an authorized point of contact for approvals and communication

Payment Terms

Payment terms, including advance payments, milestone-based payments, or recurring billing, will be specified in the project agreement or invoice. All payments must be made in the currency and through the payment method specified by Blue Brain Technologies. Delayed payments may result in suspension of work until dues are cleared. Intellectual Property Rights

Upon full and final payment for a project, ownership of the final deliverables created specifically for the client shall transfer to the client, except for any pre-existing intellectual property, proprietary tools, frameworks, or reusable components owned by Blue Brain Technologies, which shall remain our property. Blue Brain Technologies reserves the right to showcase completed projects in its portfolio, case studies, and marketing materials unless otherwise agreed in writing.

Third-Party Tools and Licenses

Certain projects may involve the use of third-party tools, plugins, themes, APIs, or licensed software. The client is responsible for any ongoing subscription or licensing fees associated with such third-party tools unless explicitly included in the project scope. Blue Brain Technologies is not liable for changes, discontinuation, or pricing changes made by third-party providers.

Confidentiality

Both parties agree to keep confidential any proprietary, business, or technical information shared during the course of the engagement and to not disclose such information to any third party without prior written consent, except as required by law.

Warranties and Disclaimers

Blue Brain Technologies strives to deliver high-quality services; however, our services are provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that our services or deliverables will be error-free, uninterrupted, or meet every specific business expectation of the client outside the agreed scope of work.

Limitation of Liability

To the maximum extent permitted by law, Blue Brain Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, data, or business opportunities, arising out of or related to the use of our services or website. Our total liability for any claim arising from a project shall not exceed the total amount paid by the client for that specific project.

Indemnification

The client agrees to indemnify and hold harmless Blue Brain Technologies, its employees, and affiliates from any claims, damages, losses, or expenses arising out of the client's breach of these Terms, misuse of deliverables, or provision of inaccurate or unauthorized content or materials.

Termination

Either party may terminate an ongoing engagement in accordance with the terms outlined in our Cancellation Policy or the specific project agreement. Upon termination, the client shall be liable to pay for all work completed up to the date of termination.

Website Use

By using our website, you agree not to:

• Use the website for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our systems, servers, or data
• Copy, reproduce, or distribute any content from our website without prior written permission
• Upload or transmit any harmful code, viruses, or malicious software through our website

Force Majeure

Blue Brain Technologies shall not be held liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, pandemics, government restrictions, internet or power outages, or other force majeure events.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through mutual discussion, failing which they shall be subject to the exclusive jurisdiction of the courts in Uttar Pradesh, India.

Changes to These Terms

Blue Brain Technologies reserves the right to update or modify these Terms at any time without prior notice. Changes will be effective immediately upon posting on our website. Continued use of our website or services following any such changes constitutes your acceptance of the revised Terms.
